INDEMNITY

DISPUTES

Your exclusive means of resolving any dispute or claim arising out of or relating to this Agreement (including any alleged breach thereof) or the Website shall be binding arbitration administered by the American Arbitration Association (“AAA”).  The AAA’s rules are available at www.adr.org or by calling 800.778.7879.  Any arbitration shall be held in New York, New York and shall be adjudicated by a single arbitrator.  You may not under any circumstances commence or maintain against Criminal Content Inc., or its subsidiaries, affiliates, officers, members, employees and agents, any class action, class arbitration, or other representative action or proceeding.

By using the Website in any manner, you agree to the above arbitration provision.  In doing so, you give up your right to go to court to assert or defend any claims between you and Criminal Content Inc. or its subsidiaries, affiliates, officers, members, employees and agents.  You give up your right to participate in a class action or other class proceeding.  Your rights will be determined by a neutral arbitrator, not a judge or jury.  Decisions by the arbitrator are enforceable in court and may be overturned by a court only for very limited reasons.

Any proceeding to enforce this arbitration provision, including any proceeding to confirm, modify, or vacate an arbitration award, may be commenced in any court of competent jurisdiction.  In the event that this arbitration agreement is for any reason held to be unenforceable, any litigation against Criminal Content Inc., or its subsidiaries, affiliates, officers, members, employees and agents may be commenced only in the federal or state courts located in New York, New York.  You hereby irrevocably consent to the jurisdiction of those courts for such purposes, and you waive any argument as to the convenience of such courts.

APPLICABLE LAW

This Agreement, and any dispute between you and Criminal Content Inc., or its subsidiaries, affiliates, officers, members, employees and agents, shall be governed by the laws of the state of New York without regard to principles of conflicts of law, provided that arbitration provisions may be governed by the Federal Arbitration Act.

SITE POLICIES, MODIFICATION, AND SEVERABILITY

This Agreement contains the entire agreement between you and Criminal Content Inc. regarding the use of the Website.  This Agreement is subject to change by Criminal Content Inc. at any time and any such change will be effective upon publishing on the Website.  Your use of the Website after such publishing will constitute acceptance by you of the revised Agreement.  Please check the Website regularly for any such changes.  If any provision of this Agreement shall be deemed invalid, void, or for any reason unenforceable, that provision shall be severable and shall not affect the validity and enforceability of remainder of this Agreement.  The severed provision shall be reformed to approximate the expressed intent of the parties as closely as permitted by law.

NOTICE AND PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT INFRINGEMENT

If you believe that the Website contains content that is posted or available in a manner that infringes a copyright owned by you, please submit notice to Criminal Content electronically at:  info [at] criminal content [dot] com. Your notice should contain all of the elements required by 17 U.S.C. § 512(c).
